Arizona LLC Publication Requirements: A Complete Guide
The publication requirement for an Arizona LLC can be more of a nuisance than a benefit, yet it remains a legal obligation in Arizona.
Mostly every LLC established in Arizona must inform the public about its formation by placing an advertisement in one newspaper for three consecutive issues (“runs”). Typically, these three runs take about 1-2 weeks to complete.
The newspaper should be situated within the same county as the address of your LLC’s Statutory Agent.
Your advertisement needs to be posted within 60 days following the approval of your LLC.
Exception: If your Arizona Statutory Agent’s address is situated in Maricopa County or Pima County, there is no requirement to place any newspaper advertisements. This is due to the fact that the Arizona Corporation Commission automatically publishes these LLC formations—in their Public Notice database—free of charge. This process occurs automatically, meaning you don’t need to take any action for it to happen. Source: House Bill 2447, which revised Section 10-130 of the Arizona LLC Act.
Notice of Publication Document
As part of the approval process for your Arizona LLC, the state will provide you with a document known as the Notice of Publication.
To complete the Notice of Publication, just provide your LLC details (including file number, LLC name, address, and member information) and submit it along with your payment to the newspaper.
Typical newspaper rates range from $60 to $120, but it’s advisable to contact several newspapers to confirm their pricing.
Approved Newspapers & Associated Fees List
The costs for publication differ among newspapers depending on their respective counties.
We suggest reaching out to 2-3 newspapers to inquire about their rates and payment procedures.
Note: Certain newspapers may have limited personnel in their “Legals” department, which means you might have to leave a message and wait a day for a response. Additionally, some counties might only feature one or two sanctioned newspapers.

The majority of newspapers will receive your Notice of Publication via email or traditional mail.
You can make payments via phone using a credit card, or you have the option to send a check by mail. Additionally, certain newspapers might accept online payments.

Affidavit of Publication
Once your advertisements have been published in three editions, the newspaper will provide you with an Affidavit of Publication, confirming that the ads were successfully displayed.
Tip: Create a duplicate of this document and store it with your business files.
Most newspapers provide the Affidavit of Publication following the “3 runs” (typically within 2-4 weeks). However, if yours does not, you will need to reach out to them to obtain it.
Recording your Affidavit of Publication with AZCC
Submitting your Affidavit of Publication to the AZCC was once a legal obligation, but that is no longer the case.
You are solely obligated by law to retain a copy of the Affidavit of Publication within your business documentation.
That being noted, we suggest you file the document (free of charge) with the Arizona Corporation Commission. This way, if any questions come up regarding whether you fulfilled the legal publishing obligations, you will have the evidence stored with the state.

The recording of the Affidavit of Publication by the AZCC may take between 1 to 2 months. To verify its status, you can look it up in the AZCC database: Arizona Corporation Commission: Search.
Look up your LLC name, then scroll down to select “Document History,” where you’ll find the Affidavit of Publication listed.
Penalty for not publishing
Failure to adhere to Arizona’s publication obligations may lead to the dissolution of your LLC.
After you have completed three runs of your advertisement, obtained an Affidavit of Publication, and submitted the Affidavit of Publication to the AZCC, you can proceed to apply for Arizona LLC Business Licenses and Permits.
