How to File Arizona LLC Certificate of Formation (Simple Guide)
Learn how to file Arizona LLC Certificate of Formation. This guide simplifies the process with step-by-step instructions and helpful tips.
In this guide, we will guide you through the process of submitting your LLC Articles of Organization to the state for establishing your Arizona LLC.
The Articles of Organization is the document that establishes your Arizona LLC upon approval by the Arizona Corporation Commission.
You have the option to submit your Articles of Organization either online or via postal mail.

Arizona LLC registration costs and processing durations
The Arizona LLC filing fee is $50.
You also have the option to expedite your LLC approval for a fee of $85.
Note: The fee for filing an LLC is one time payment.
Mail submission (costs and processing duration):
When you submit your Articles of Organization via mail and remit a fee of $50, your LLC will receive approval within 14-16 business days, not including the time taken for mailing.
When you submit your Articles of Organization via mail and pay an $85 fee for expedited processing, your LLC will receive approval within 3-5 business days (excluding mailing time).
Online filing (fees and approval time):
When you submit your Articles of Organization online and remit a payment of $50, your LLC will receive approval within 14-16 business days (excluding mailing time). You must upload a signed Statutory Agent Acceptance form. Failing to upload this form will prevent you from choosing the $50 filing fee during the checkout process.
When you submit your Articles of Organization through the online portal and opt for the $85 expedited processing fee, your LLC can receive approval within just one business day. There’s no need to upload a signed Statutory Agent Acceptance letter. Your Statutory Agent will confirm their role by clicking a link in an email sent from the AZCC. Consequently, once the Statutory Agent clicks on the acceptance link, your LLC will be officially approved.
Explore LLC Costs in Arizona for additional details regarding the expenses involved in establishing an Arizona LLC.
Note: Processing times might be extended because of delays from the government. To find the latest information on LLC processing durations, refer to how long it takes to establish an LLC in Arizona.
To ensure your LLC gets approved swiftly, we suggest opting for the online expedited filing service ($85). This method involves minimal paperwork and allows for your LLC to be approved within just one day.
If your budget is limited to $50 and approval time isn’t a concern, we suggest opting for a “standard” filing rather than an expedited one. In this scenario, you can submit the Articles of Organization either online or via mail, as both methods typically take about 14-16 business days for approval. Keep in mind that the mail filing may require a few extra days due to shipping times.

Notice (preference for online submissions)
We believe that the online filing option, regardless of whether the fee is $50 or $85, is superior to filing by mail. Therefore, this lesson and the accompanying instructions will concentrate on the online filing process.
That being noted, we provide a summary of the mail filing below.
Important
Prior to submitting your LLC Articles of Organization, ensure that you have reviewed the previous two lessons:
Recommendation:
We strongly recommend filing online. It’s faster, easier, and more convenient.

Download the Articles of Organization form:
Arizona LLC Articles of Organization (Form L010)
When establishing an Arizona LLC through mail, you must submit three extra documents in addition to your Articles of Organization:
- Cover Sheet
- Statutory Agent Acceptance
- Membership Attachment (Member-Managed or Manager-Managed)
If your LLC is set up as Member-Managed, you just need to include the LLC Member(s) in the Member-Managed Attachment.
- Related article: Member-managed vs Manager-managed LLC
If your LLC is set up as Manager-Managed, you are required to list the LLC Manager(s) in the Manager-Managed Attachment. Furthermore, you must include any LLC Member(s) in the Manager-Managed Attachment who hold 20% or greater ownership of the LLC. This stipulation is outlined in Section 29-3201(B)(4)(a) of the Arizona LLC Act.
Accepted Forms of Payment: Check or Money Order
Make Payable To: “Arizona Corporation Commission”
Mailing Guidelines: Please forward your $50 filing fee (or $85 filing fee) along with the Articles of Organization, Cover Sheet, Statutory Agent Acceptance, and the Membership Attachment to:
Arizona Corporation Commission
1300 West Washington Street
Phoenix, Arizona 85007
Approval duration: When you pay the $50 filing fee, your LLC will be approved within 14-16 business days (not including mailing time). If you opt for the $85 filing fee, your LLC approval will occur in just 3-5 business days.
Approval documents: After your Arizona LLC receives approval, you’ll get your Approval Letter and Notice of Publication via mail. Oddly enough, the AZCC does not send a stamped and approved version of your Articles of Organization through email. Instead, you must log into eCorp to download it. Fortunately, this service is free.
Here are the instructions:
Begin by searching for your LLC name at AZCC eCorp: Conduct a search, select your LLC from the results, scroll to the bottom of the page and click on “Document History,” then click on “Articles of Organization” to download a copy.
Arizona LLC Articles of Organization (Online)
To establish an Arizona LLC online, you need to set up an eCorp account:AZCC eCorp: Register
Temporary password:
Upon registering with your name and email address, you will receive an email from the AZCC containing a temporary password. Please check your inbox, locate the temporary password, and then log in to AZCC eCorp. You will be directed to a page where you can update your password.
Get started: After logging into eCorp, click on “Create a new LLC” located above “My Alerts.” Next, choose “Limited Liability Company” and then proceed by clicking “Next.”
Note: A Professional Limited Liability Company (PLLC) is essential for licensed professionals, including physicians, attorneys, dental practitioners, engineers, nursing staff, clinical social workers, physical therapy experts, veterinarians, and others. It’s important to consult the governing agency or board that oversees your state license to understand the specific requirements, or alternatively, you may wish to consult with an attorney.
Don’t use your browser’s back button:
When navigating the online filing process, avoid using your browser’s back button. Doing so will take you back to the start and will not preserve your progress. Instead, utilize the integrated “back” buttons located in the lower left corner.
1. Entity Search
Don’t forget to review the Arizona LLC Name Search lesson prior to moving forward.
Have you reserved a name for this entity?
This is not applicable to the majority of filers, as a name reservation for an LLC is unnecessary when establishing an LLC in Arizona. If you lack an LLC name reservation, simply select “No“.
Entity Name:
Input your preferred Arizona LLC name along with the designator (e.g., “LLC”) and hit “Search.” The eCorp system will inform you if your chosen name can be used. When you see “The Name is Available,” click “Next” to continue.
2. Entity Information
Entity email address: This field is not mandatory, so you may choose to leave it empty or provide your email address if you prefer.
Effective date:
The effective date of your LLC marks the moment your Arizona LLC comes into being. Consider it the “birthday” of your LLC. If you opt to keep the effective date unchanged, your LLC will be established on the current date. However, if you wish for your LLC to begin its existence at a later time, you have the option to specify a future date, provided it is no more than 90 days from today.
Tip: If you’re establishing your Arizona LLC toward the end of the year (October, November, December) and don’t require it to be active immediately, you can set the effective date for your LLC to January 1st of the next year. This approach will help you avoid the inconvenience of filing taxes for the months when there’s no business activity.
Character of Business:
If you want to clarify the intent of your LLC, you can choose from the dropdown list and its sub-options. For a more general purpose for your LLC, simply select “Any legal purpose.”
Duration:
Duration refers to the length of time your Arizona LLC will remain active. “Perpetual (forever)” indicates that the LLC will continue to operate until the owner submits the necessary documents to dissolve it – effectively closing down the LLC – rather than having it automatically terminate on a specified future date. If you would like your LLC to conclude automatically on a particular date, you can specify that here (though this option is quite rare).
Note: Most filers choose “Perpetual (forever)“.
Then click “Next” to proceed.
3. Statutory Agent
For your information: The phrases “Statutory Agent” and “Registered Agent” are interchangeable. Arizona officially refers to it as “Statutory Agent,” but “Registered Agent” is the term more frequently used in the industry.
Keep in mind that you have four choices for your Arizona LLC Statutory Agent. It’s important to review the Arizona LLC Statutory Agent lesson prior to moving forward, as this will affect your address confidentiality and determine if you need to fulfill the newspaper publication requirement. Additionally, ensure you grasp the distinction between a Registered Agent and an LLC Member.
If you, a relative, or a friend are set to act as the Statutory Agent for your LLC:
Choose “No,” then proceed by clicking the “Create Agent” button.
Next, input your or their name, address (city and county will automatically fill in), and email address; then select “Done“. After that, click “Next” to continue.
If you engaged the services of Northwest Registered Agent:
Select “Yes”, enter “Northwest” into the search box, and click “Search“.
You’ll encounter a variety of results for Northwest Registered Agent that appear identical.
Important: Ensure you choose a result where support@northwestregisteredagent.com is present in the email section.
Then click “Next” to proceed.
If you hired a different Commercial Statutory Agent:
Choose “Yes,” look for their company in the search results, select the appropriate option, and then click “Next” to continue.
IMPORTANT – Statutory Agent Email Acceptance:
Upon completing your online filing, the AZCC will dispatch an email to the Statutory Agent of your LLC. It is essential for your Statutory Agent to acknowledge their role by clicking on the confirmation link included in that email. The AZCC allows a period of 7 days for the Statutory Agent to activate the confirmation link.
4. Principal Address
Input your Arizona LLC Principal Address along with the zip code (the city and county will automatically populate) and then proceed by clicking “Next“.
The Principal Address can be a:
- home address,
- mailing address,
- office address, or
- the address of your Statutory Agent
Additionally, the Principal Address may be located in Arizona or be an out-of-state address.
Address privacy: If you’re worried about your address appearing in public records, check out our Arizona Statutory Agent guide for some alternative solutions.
5. Principal Information
MANAGER/MEMBER INFORMATION:
From the dropdown menu, choose if your LLC will operate as Member-Managed or Manager-Managed.
- A Member-Managed LLC allows all members to enter into contracts and agreements on behalf of the Arizona LLC, in addition to overseeing the business and its daily operations.
- A Manager-Managed LLC is a structure in which a single individual or a select group of individuals (referred to as “Managers”) possess the authority to enter into contracts and agreements on behalf of the Arizona LLC, as well as oversee the business and its daily activities. The remaining members do not have the power to bind the LLC in any contracts or agreements, nor do they engage in the management of the business or its everyday operations. Rather, they assume a passive or investor role.
For additional details, kindly refer to:
Member-managed vs Manager-managed LLC.
What is the common choice among filers? The majority of filers opt for a Member-Managed structure for their LLC.
PRINCIPAL INFORMATION:
Once you decide on the management structure for your LLC, you must provide the details of the LLC Member(s) and/or LLC Manager(s) in the section below.
Once you’ve input the details for the LLC Member or LLC Manager, hit “Add Principal” to store the information. You can keep adding additional Members/Managers as needed, and then click “Next” to move forward.
Notes for Manager-Managed LLCs:
- If your LLC is structured as Manager-Managed, it is essential to include the names of the LLC Manager(s). According to Section 29-3201(B)(4)(a) of the Arizona LLC Act, any Member of the LLC who possesses a 20% or greater ownership stake must also be identified alongside the LLC Manager.
- You might find the “Title” drop-down menu a bit perplexing. For detailed information on the appropriate title for each Manager and/or Member, please refer to our LLC officers titles article.
6. Organizer Information
Input the name of the LLC Organizer (address, phone number, and email aren’t necessary), then click “Add Organizer” and proceed by selecting “Next.”
An LLC Organizer is merely the individual or entity responsible for signing the Articles of Organization and filing them with the AZCC.
While a member of your LLC can serve as the LLC Organizer, being an Organizer does not inherently grant ownership of the LLC.
Only one Organizer is needed to sign the filing; however, you may choose to have several LLC Organizers if you prefer.
For additional details, please refer to LLC Organizer vs LLC Member and Registered Agent vs LLC Organizer.
Note: The owners (Members) are detailed in Section 5 of your Articles of Organization, along with your LLC’s Operating Agreement, which we will cover in the upcoming lesson.
7. Upload Document
“The eCorp platform will utilize the details you’ve provided to generate the Articles of Organization. Would you like to proceed with the eCorp Articles as your official document for filing?” We suggest choosing “Yes“.
Concerning the “Select File” upload section provided below, as previously stated, this is contingent upon your budget ($50 or $85) and the urgency with which you wish to have your Arizona LLC approved.
To expedite the approval of your LLC:
Avoid uploading any files and then click the “Next” button to continue.
This will require your submission to be an expedited filing ($85), allowing you to receive approval for your LLC within just one business day.
Once your Statutory Agent clicks on the acceptance link in the email from the AZCC, your LLC will receive approval.
If your budget is limited to $50 and the approval timeframe isn’t a concern for you:
You will be required to submit a signed Statutory Agent Acceptance form at this stage.
If you fail to complete this step, the online system will prevent you from choosing the $50 filing fee during checkout.
Please remember that selecting a $50 filing fee will result in a processing time of 14-16 business days for your LLC approval.
8. Organizer Signature
If you’re the Organizer of your LLC (which applies to many of our readers), simply mark the box to accept the terms, fill in your first and last name in the signature field, hit “Add,” and then select “Next” to move forward.
Note: If you included several Organizers in Section 6, ensure that each individual provides their signature on this page.
9. Review
Examine the details you provided in your LLC’s Articles of Organization and check for any errors or typographical mistakes. If you find any necessary adjustments, simply click on any of the “EDIT” buttons located on the right. If everything appears correct, click “Go to Payment Details” to continue.
Payment Details
To ensure the quickest approval process:
If you’re willing to pay a bit extra for a faster LLC approval, choose the $85 filing fee and hit “Add to Shopping Cart.”.
For the lowest filing cost:
If you can accept a 14-16 business days approval timeframe, choose the $50 filing fee and hit “Add to Shopping Cart.” If the $50 filing option is unavailable, return to the “Upload Document” page and ensure that you have uploaded a signed Statutory Agent Acceptance form.
Payment Cart
Click “Checkout“.
Then click “Go to Payment“.
Agree to the terms by clicking “I Agree“.
Fill in your billing details, provide your credit card information, and then click “Pay.”
Congratulations! Your Arizona LLC application has been sent to the AZCC for review.
You simply have to await confirmation.
